Professional Office GmbH offers companies and private individuals services in the area of extended secretarial services and bookkeeping. These include all activities and assistance offered on the Office's homepage.
Professional Office GmbH acts in the name and for the account of the respective client. If this is a natural person, he or she must be at least 18 years old.
Conclusion of the contract
Interested parties can find the information they need on the website to select the services they want and to familiarize themselves with the terms and conditions.
The contract is concluded after Professional Office GmbH has sent the client an order confirmation with a list of the desired services by email.
The client undertakes to provide Professional Office GmbH with all the information necessary to provide the services. If the service is provided in the wrong way or of poor quality due to missing, incorrect or late information, the client is liable for this. The same applies to unauthorized intervention by the client if the result is changed, delayed or falsified as a result. Professional Office GmbH is only liable if the defects occur as a result of demonstrable negligence.
Order fulfillment and remuneration
After the contract comes into force, Professional Office GmbH will provide the requested services in the agreed quality and within the agreed deadline.
Professional Office GmbH charges the fees for its services that have been agreed with the client in accordance with the service agreement.
Professional Office GmbH is entitled to invoice all extraordinary expenses, expenses in connection with the provision of services and acknowledged costs for infrastructure, telephony or similar types of costs.
If there are travel times, the time required will be billed. As compensation for the use of the company vehicle, Professional Office GmbH applies a kilometer compensation of CHF 0.70 per kilometer in any case.
Professional Office GmbH reserves the right to change prices without giving reasons and to charge fees for services that have previously been free of charge. A price change is not possible for contracts that have already been concluded, unless an existing contract is expanded by additional agreements.
Invoices are generally to be paid within 10 days. In the event of default in payment, Professional Office GmbH is entitled to default interest of 5 percent. Reminder or collection costs as well as further damage are to be borne by the client. Professional Office GmbH can meanwhile stop the provision of services until the outstanding payments have been made.
Offsetting against claims against Professional Office GmbH is only possible with express written consent.
Rights and obligations of the contracting parties
Information that is exchanged within the framework of the cooperation is considered confidential for all contracting parties and their employees. The confidential information may not be passed on to third parties. This obligation also applies after the contract has been terminated, as long as both parties have an interest in confidentiality. The duty of confidentiality does not apply to information that is already known or published at the time of the exchange of information. Confidential documents and data carriers including all copies made of them are to be surrendered on request. Retention rights are not asserted on confidential documents.
Professional Office GmbH expressly guarantees compliance with data protection regulations.
Pictures, logos, documents and documents that the client makes available to Professional Office GmbH for the performance of the contract remain in the possession of the client and are only kept by Professional Office GmbH upon request.
Warranty and liability
Professional Office GmbH is not liable for defects and errors for which it is not responsible.
If Professional Office GmbH avails itself of the help or service of third parties in order to fulfill the order satisfactorily and should this relationship result in demonstrable damage to the client because Professional Office GmbH negligently or deliberately did not prevent the misconduct of third parties, Professional Office GmbH is liable directly to your client.
Termination of the contract
A service contract with accompanying or advisory contract content (for example in the case of research work or general secretarial work) is a contractual relationship according to OR Art. 394 - 406. Unless otherwise agreed, the contract can be terminated by both parties at any time become.
If a clearly defined, defined success is owed as a result of a service agreement (for example in the case of design work, accounting with annual accounts or planning work), it is a work contract according to OR Art. 363 - 379. The contract is automatically terminated once it has been fully fulfilled . In this case, an extraordinary termination of the contract is only possible in the following cases:

Professional Office GmbH reserves the right to assert any claims for consequential damages, should this have been caused by premature termination or termination contrary to the contract.
Changes to the terms and conditions
Professional Office GmbH reserves the right to change prices, services and these terms and conditions at any time. Information about this will be published on the homepage as soon as possible.
If the terms and conditions are changed, this does not apply to service agreements that have already been concluded.
Final provisions and place of jurisdiction
Professional Office GmbH applies Swiss law, namely the provisions of the OR as mentioned in point 6.
If certain points are not regulated or individual provisions of these terms and conditions are ineffective, the contract will still exist. The unregulated or ineffective points are to be replaced by an agreement that corresponds to the law and comes as close as possible to the will of both parties.
The parties will endeavor to amicably resolve difficulties arising from the implementation of this contract.
The place of jurisdiction is the registered office of Professional Office GmbH.
